Terms of Service

These terms are an agreement between you and Aryaman Sharma, a sole proprietor in Ontario, Canada, doing business as Padro ("Padro", "we", "us"). They apply to padro.ai, app.padro.ai and every twin page Padro hosts (together, the "Service").
Please read them. By creating an account, starting a trial, buying a plan, or chatting with a twin, you agree to these terms and to our Privacy Policy. If you don't agree, don't use the Service.
1. Who these terms apply to
- Creators are the coaches, consultants, educators and other experts (and their businesses) who sign up for Padro, build an AI twin and pay for a plan. When you sign up for a business, you confirm you have authority to accept these terms on its behalf, and "you" includes that business.
- Audience members are the people who chat with a creator's twin on its public page (for
example
app.padro.ai/t/{name}). Section 9 sums up what applies to you.
2. What Padro is
Padro lets a creator build an AI twin: a chat assistant that answers questions using the creator's own material, such as documents, audio and video (which we transcribe), websites and RSS feeds, YouTube videos, notes and answers the creator writes, and, where offered, the creator's own social profiles and posts. The twin answers the creator's audience on a page Padro hosts. Creators can test the twin, correct its answers, control who may use it, and see its conversations and usage.
We improve Padro over time. We may add, change or remove features. If we remove something central to a paid plan, we'll tell you in advance where we reasonably can. Features labelled beta or preview may be incomplete and can change or end at any time.
3. Accounts
- Creators must be at least 18 and use Padro for a business or professional purpose.
- Audience members must be at least 16 (or older if the law where you live requires it to use a service like this without a parent's consent).
- You sign in with a one-time code we email you. Keep access to your email account secure: anyone who can read it can sign in as you. Tell us at founder@padro.ai if you think your account has been used without your permission.
- Give us accurate information and keep it up to date.
- A creator's account belongs to an organization. Its admins control its plan, billing, members and deletion. You're responsible for what the people you add to your organization do in it.
4. Your content
What you own. You keep ownership of everything you add to Padro: files, recordings, links, text, corrections, and the settings you choose ("Your Content"). As between you and us, the answers your twin gives are also yours to use, to the extent any rights in them exist.
What you let us do with it. You give Padro a worldwide, non-exclusive, royalty-free licence to host, copy, process, transcribe, index, analyse, display and transmit Your Content, only as needed to run, secure and support the Service for you. That includes sending it to the service providers listed in our Privacy Policy (for example, AI model providers) so they can do that work for us, and showing your twin's answers, name and picture on its public page. The licence ends when Your Content is deleted, except for copies we must keep by law and copies in backups until they expire.
We don't train AI models on Your Content. We don't use it to train or fine-tune AI models, and we don't sell it.
Your responsibility for what you add. You confirm that:
- you own Your Content or have every right and permission needed to add it to Padro and to have your twin use it to answer other people;
- any social profile, channel or website you import is your own or one you're authorised to use, and importing it doesn't break the rules of the platform it comes from; and
- Your Content doesn't contain other people's personal information unless you're allowed to share it for this purpose, and never contains sensitive information (such as health, financial or identity-document details) about other people that the twin could repeat.
We don't review Your Content before it's used, but we may remove or disable content, or pause a twin, if we reasonably believe it breaks these terms or the law, or if someone reports it.
Copyright complaints. If you believe content on Padro infringes your rights, email founder@padro.ai with the content's location, the work you say it infringes, and your contact details. We'll review it and act where appropriate, including removing content and closing the accounts of repeat infringers.
5. Your twin and your audience (for creators)
Your twin speaks for you, so you're responsible for it. In particular:
- Make it clear it's an AI. Don't present your twin as a real person, or as you personally answering in real time.
- Speak only for yourself. Don't build a twin of another real person, or imply endorsement by someone who hasn't given it.
- Check what it says. Test your twin, correct it when it's wrong, and don't let it give advice you wouldn't give yourself.
- Your audience's data. Your audience's conversations with your twin are stored in your account, and you can read them. You decide how you use them, and you're responsible for having a lawful basis to do so and for telling your audience about it where the law requires it (for example, in your own privacy notice). Padro processes those conversations on your behalf, as described in our Privacy Policy.
- Access. You choose whether your twin is live, whether it's public or invite-only, and how many messages people may send. You can add or revoke people at any time.
- Your own dealings. Anything you sell, promise or arrange with your audience is between you and them. Padro isn't a party to it.
6. AI answers can be wrong
A twin generates answers automatically from the creator's material. Answers can be incomplete, out of date or wrong, even when they cite a source, and they may not reflect what the creator would actually say.
- Answers are not professional advice (medical, mental-health, legal, financial, tax or other), and don't create a professional relationship with the creator or with Padro. Check anything important with a qualified person.
- Don't use a twin in an emergency. If you or someone else is in danger, contact your local emergency services.
- Padro provides the technology. Padro doesn't write, review or endorse what a twin says, and the creator, not Padro, is responsible for their twin's content.
7. Acceptable use
Everyone using Padro, creators and audience members alike, agrees not to:
- break the law, or help anyone else do so;
- infringe anyone's intellectual property, privacy or publicity rights;
- upload or generate content that is sexual content involving minors, sexually explicit, hateful, harassing, threatening, violent, or that promotes self-harm;
- impersonate anyone, or mislead people about who they're talking to;
- use a twin to give regulated advice you aren't licensed to give, or to make decisions about people's credit, employment, housing, insurance, education or health;
- send spam or unsolicited messages, including through audience invitations;
- collect other users' personal information without permission, or use Padro to build profiles of people;
- try to get a twin to reveal content its creator has kept private, or to bypass access controls, usage limits or safety measures;
- scrape, copy or harvest the Service or twins' answers in bulk, or use them to build a competing product or train AI models;
- probe, scan or test the Service's security without our written permission, or interfere with it (for example, overloading it, or introducing malware);
- resell or share access to Padro, or create accounts to get around limits, trials or a suspension;
- use Padro in a way that breaks the terms of the AI providers or payment providers we rely on.
We may investigate suspected misuse and take reasonable action, including removing content, limiting usage, pausing a twin, or suspending or closing an account.
8. Plans, trials and payment (for creators)
Who you pay. Padro sells through Stripe Managed Payments. Your purchase is processed by
Stripe's affiliate Sold through Link, LLC ("Link"), which is the merchant of record: Link
charges you, works out and collects sales tax, VAT or GST, and sends your receipts and invoices.
Your card statement shows LINK.COM* PADRO. When you pay, Link's
Sold through Link Terms, its
refund policy and its
privacy policy apply to the payment as well. Padro remains responsible
for the Service itself.
Prices. Plans, prices and what each includes are on our pricing page and in the app. Prices are in US dollars and don't include tax, which Link adds at checkout based on where you are. Checkout may offer to charge you in your local currency; Link sets that exchange rate, so a subscription's amount in your currency can vary from one payment to the next.
Usage limits. Each plan includes limits, such as a monthly number of AI answers and a daily limit on audience answers, knowledge capacity, transcription time and team members. When you reach a limit, the affected feature stops until the limit resets, you upgrade, or (for answers) you buy an answer pack. Your twin's visitors see only that it isn't taking questions right now.
Free trial. New accounts can start a 14-day free trial of the Starter plan. A card is required. You won't be charged during the trial, and Link emails you before it ends. Unless you cancel before the trial ends, your card is charged for the plan you chose (plus tax) when it ends, and your first paid billing period starts that day. Cancel any time during the trial and you won't be charged. One free trial per creator and organization. Other offers (for example, a trial without a card, or a complimentary plan) follow the terms shown when they're offered.
Renewal. Plans are billed monthly or yearly, in advance, and renew automatically at the end of each period until you cancel. You authorise Link to charge your payment method for each renewal and for any change you make.
Changing plan.
- Upgrades (including monthly to yearly) take effect immediately. You're charged the prorated difference for the rest of the current period straight away.
- Downgrades (including yearly to monthly) take effect at the end of the current period. You keep your current plan until then and can undo the change before it takes effect. If your usage is above the smaller plan's limits (for example, more members or knowledge than it allows), you'll need to reduce it first.
Answer packs. If your plan's answers run out, you can buy extra answers in packs, as one-off purchases at the price shown in the app. Bought answers don't expire while your account exists, are used only after your plan's included answers for the period, and can be used only while you have an active plan. They end when your organization is deleted.
Price changes. New prices apply to new purchases. Your current subscription keeps its price until you change plan. If we ever need to change the price of an existing subscription, we'll tell you at least 30 days before it applies, and you can cancel before then.
Failed payments. If a payment fails, Link retries it and emails you. For the first 7 days everything keeps working. After 7 days your twin stops answering visitors and new content pauses until the payment goes through; you can still sign in, see your plan and pay. If the payment still hasn't succeeded after Link's retries (about two weeks), your subscription is cancelled and your account is treated as lapsed (section 11).
Taxes and fees. Link handles sales tax, VAT and GST on your purchase. Your bank may charge its own fees (for example, for foreign transactions); those are yours.
9. For audience members
If you chat with a creator's twin:
- The twin belongs to the creator, and answers from the creator's material. You're talking to an AI, not to the creator in person and not to Padro, and section 6 applies: answers can be wrong and aren't professional advice.
- You sign in with a code we email you. Some twins let you send a few messages first without signing in.
- The creator can read your conversations with their twin, and sees your name and email once you sign in. Don't share anything you wouldn't want the creator to see. Our Privacy Policy explains what we store and for how long.
- The creator decides who can use their twin and how much, and can end your access at any time.
- Section 7 (acceptable use) applies to you. The twin is free for you to use unless the creator arranges otherwise with you directly.
10. Cancelling and refunds
You can cancel a paid plan at any time in Settings → Plans in the app, or from your Link account at link.com. Cancelling stops future renewals; you keep your plan until the end of the period you've paid for, and you can resume it before then. We don't give refunds for partial periods or unused time, except as our Refund and Cancellation Policy describes or where the law requires. That policy is part of these terms.
11. Suspension, lapsed accounts and deletion
If you break these terms. We may suspend or close your account, or pause a twin, if you seriously or repeatedly break these terms, if you don't pay, if we must by law, or to protect Padro, our users or others from harm. Where reasonable, we'll tell you first and give you a chance to fix the problem. If we close your account because you broke these terms, you don't get a refund.
Lapsed accounts. If your organization has no active plan (for example, a trial ended without a plan, or a subscription was cancelled or ended after failed payments), it becomes read-only: your twin stops answering and new content can't be added. An organization that stays without an active plan is deleted permanently 90 days after it lapses. We email its admins 30, 7 and 1 days before. Starting a plan before then stops the deletion.
Deleting your organization. An admin can delete the organization at any time in Settings → Organization. Deletion is immediate and permanent: it removes your twin, your content and files, their search index, your audience's conversations, and every member's account. If you have a paid plan, it ends at once without a refund. Your invoices and receipts stay with Link and Stripe. We keep only a record that the deletion happened, with counts and no personal information.
Keep your own copies of anything you want to keep; we can't recover deleted data.
If we stop offering Padro, we'll give you at least 30 days' notice and refund any prepaid fees for the period after the Service ends.
12. Third-party services
Padro relies on other companies to run (for example, Stripe and Link for payments, AI model providers for answers, and cloud providers for hosting). Content you import from other platforms (such as YouTube or LinkedIn) is subject to those platforms' own terms. We aren't responsible for third-party services we don't control, but we choose our providers with care and they process data for us only as our Privacy Policy describes.
13. Padro's property and feedback
Padro, including its software, design and brand, belongs to us and our licensors. These terms give you the right to use the Service as they describe, and no other rights. If you send us ideas or feedback, we may use them without owing you anything.
14. Disclaimers
We work to keep Padro available, secure and accurate, but the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Service will be uninterrupted or error-free, that answers will be accurate, or that content will never be lost.
15. Limitation of liability
To the extent the law allows:
- neither Padro nor you is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
- Padro's total liability for all claims relating to the Service is limited to the greater of the amount you paid for the Service in the 12 months before the claim arose and US$100.
These limits don't apply to liability that can't be limited by law, such as for fraud or wilful misconduct.
16. Indemnity (for creators)
You'll defend and indemnify Padro against claims, losses and costs (including reasonable legal fees) arising from Your Content, your twin's use with your audience, your dealings with your audience, or your breach of these terms or the law.
17. Changes to these terms
We may update these terms. If a change is material, we'll tell creators by email or in the app at least 30 days before it takes effect, unless it's needed sooner for legal or security reasons. The date at the top shows the latest version. If you keep using Padro after a change takes effect, the new terms apply; if you don't agree, stop using Padro and cancel your plan.
18. Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Before starting any legal proceeding, please email us and give us 30 days to try to resolve the issue. The courts in Toronto, Ontario, have exclusive jurisdiction, except that nothing here removes rights you have as a consumer under the law of the place where you live, including any right to bring proceedings there.
19. General
- These terms, the Privacy Policy and the Refund and Cancellation Policy are the whole agreement between you and Padro about the Service. A separate written agreement (for example, for an Enterprise plan) takes priority where it says so.
- If part of these terms can't be enforced, the rest still applies.
- If we don't enforce a right straight away, we haven't given it up.
- You can't transfer these terms without our consent. We may transfer them to someone who takes over Padro's business, and we'll tell you if that happens.
- Sections that by their nature should survive the end of this agreement (such as 4, 6 and 13 to 18) survive it.
- Neither of us is liable for delays caused by events beyond reasonable control.
